1. Acceptance of Terms

These Strategic Intelligence Suite Access and Advisory Terms (“Agreement”) govern your access to and use of a strategic capability system designed to support organisational thinking under conditions of uncertainty.

By accessing, activating, subscribing to, purchasing, using, or receiving the Strategic Intelligence Suite or any related services, you agree to be bound by this Agreement.

If you do not agree, you must not access, use, or receive the Strategic Intelligence Suite or related services.

2. Definitions

In this Agreement:

2.1 Strategic Intelligence Suite

means the integrated strategic capability system made available by the licensor, comprising the Stratāgaia environment and associated components, including (without limitation) Strategy Navigator modules, Governance Rhythm, CFO Strategic Intelligence, Strategy Ledger, stratāpulse, CSOsandbox, related models, reports, dashboards, templates, semantic layers, data structures, workflows, documentation, learning assets, updates, integrations, and associated functionality made available

under the customer’s subscription or engagement.

2.2 Stratāgaia Environment

means the core strategic environment within the Strategic Intelligence Suite that provides structured context, signals, data, knowledge, and framing mechanisms to support interpretation, prospection, and strategic judgement under uncertainty.

2.3 Strategy Navigator

means the interpretive structure within the Strategic Intelligence Suite incorporating Signals, Foundations, Strategic Direction, and Governance and Regeneration capabilities.

​

2.4 Advisory Services

means any advisory, consulting, implementation, onboarding, configuration, facilitation, governance design, capability development, or related professional services provided in connection with the Strategic Intelligence Suite.

2.5 Strategic Capability Services

means any educational, developmental, or capability-building services or content, including programs, masterclasses, simulations, publications, and learning experiences delivered in any format.

2.6 Customer Data

means all data, materials, content, and information provided by or on behalf of the customer.

​

2.7 Commercial Document

means any proposal, order form, statement of work, engagement letter, subscription description, pricing schedule, or similar document defining scope, fees, or terms.

3. Nature of the Strategic Intelligence Suite and Services

The Strategic Intelligence Suite is an integrated strategic capability system designed to support:

• interpretation of change

• structured exploration of possibility space

• disciplined governance and decision framing

• preservation of strategic memory

• continual regeneration of strategy

The Strategic Intelligence Suite is not a conventional analytics, reporting, or enterprise performance system.
It does not optimise decisions, automate judgement, or produce deterministic forecasts.

Instead, it enables structured prospection—the disciplined exploration of what could happen—while supporting organisational clarity, alignment, and governance under uncertainty.

All components, including Advisory Services and Strategic Capability Services, are provided to support organisational capability.
They do not prescribe strategy, replace judgement, or transfer accountability.

4. Access Rights

Subject to compliance with this Agreement and payment of applicable fees, the licensor grants a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Strategic Intelligence Suite for internal business purposes.

No ownership or intellectual property rights are transferred.

5. Permitted Use

The Strategic Intelligence Suite may be used only:

• for lawful internal business purposes

• within agreed scope, users, and licence conditions

• in alignment with your governance and decision-making responsibilities

• ​

6. Restrictions

You must not:

• copy, modify, or create derivative works

• reverse engineer or extract underlying logic or methodologies

• distribute or provide access to third parties without consent

• use the system to deliver competing services

• bypass security or access controls

• impair system integrity or performance

• remove proprietary notices

• treat outputs as a substitute for governance or professional judgement

7. Advisory and Strategic Capability Services

The licensor may provide Advisory Services and Strategic Capability Services, including implementation support, facilitation, capability development, and structured learning.

These services:

• support development of enduring strategic capability

• augment organisational judgement and governance

• do not constitute regulated professional advice

• do not transfer decision authority

The customer remains responsible for evaluating and acting on all outputs and insights.

Service scope, fees, and deliverables must be defined in a Commercial Document.

8. Authority Boundaries and No Reliance

The Strategic Intelligence Suite augments human prospection and strategic judgement.

It:

• does not determine strategy

• does not provide predictions or guaranteed outcomes

• does not replace governance or accountability

It supports how organisations think about the future.
It does not determine what the future will be.

You acknowledge that:

• the system is not relied upon as the sole basis for decisions

• all decisions and actions remain the responsibility of the organisation

• all outputs must be interpreted within context

Use of the system does not transfer or dilute accountability for strategic decisions.

9. Customer Responsibilities

You are responsible for:

• providing accurate and authorised data

• ensuring appropriate use by personnel

• maintaining governance, decision-making, and review processes

• securing all necessary approvals and rights

Outcomes depend on customer engagement, access, and cooperation.

10. Customer Data

You retain ownership of Customer Data.

You grant a limited right to use such data solely to provide and support the system and services.

You are responsible for:

• data legality and accuracy

• required permissions and consents

• governance and backups

 

11. Confidentiality and Privacy

Each party must protect confidential information and use it only as required for this Agreement.

Personal data is handled in accordance with applicable privacy policies.

12. Fees and Payment

Fees may include subscription, licence, advisory, training, or program charges.

Unless otherwise agreed:

• fees are payable as invoiced

• subscriptions are non-cancellable during term

• fees are non-refundable (except where required by law)

Non-payment may result in suspension of access or services.

13. Expenses

Approved out-of-pocket expenses are reimbursable at cost.

​

14. Scope Changes

Changes to scope, timing, or requirements may require adjustment to fees or delivery terms.

​

15. Availability and Changes

The Strategic Intelligence Suite may be updated, modified, or enhanced over time.

Continuous availability or error-free operation is not guaranteed.

​

16. Estimates and Forward-Looking Statements

Any projections, scenarios, or estimates are indicative only.

Given the inherently uncertain and non-deterministic nature of strategy, no forward-looking statement should be interpreted as a prediction, guarantee, or commitment.

​

17. Intellectual Property

All intellectual property remains the property of the licensor.

Customers retain ownership of their own data.

Rights to deliverables are defined in the applicable Commercial Document.

​

18. Disclaimer of Warranties

To the maximum extent permitted by law, the system and services are provided “as is” without warranties of any kind.

​

19. Limitation of Liability

To the maximum extent permitted by law:

• the licensor is not liable for indirect or consequential losses

• the licensor is not responsible for decisions made using the system

• liability is limited to fees paid in the preceding 12 months

20. Indemnity

You indemnify the licensor against claims arising from misuse, breach, or Customer Data.

​

21. Term and Termination

This Agreement applies from first use and continues until terminated.

Upon termination:

• access ceases

• services may cease

• surviving provisions remain in effect

22. Governing Law

This Agreement is governed by the laws of Victoria, Australia.

​

23. Changes to Agreement

The licensor may update this Agreement.

Continued use constitutes acceptance.

​

24. Entire Agreement

This Agreement and related Commercial Documents constitute the full agreement between the parties.

Final Note

The Strategic Intelligence Suite is not a software product in the traditional sense.

It is a structured strategic capability system—enabled through technology—designed to support disciplined prospection, governance, and the continual regeneration of strategy.

Its value is not defined by outputs alone,
but by how it shapes organisational thinking over time.​
