Terms of Use / End User License Agreement (EULA)

Effective Date: 21st April, 2026

1. Acceptance of Terms

By installing, accessing, or using the stratāgaia Strategy System (the “System”), you agree to be bound by these Terms of Use. If you do not agree to these Terms, you must not install or use the System. These Terms constitute a legally binding agreement between you and PH Strategy & Leadership (“the Publisher”).

2. Purpose and Nature of the System

The stratāgaia Strategy System is an auditable strategy guidance and sense‑making system designed to support strategic judgement, renewal, regeneration, and organisational learning under conditions of uncertainty.

The System:

  • provides interpretive structures, strategic views, and governance‑grade traceability of reasoning,

  • supports pre‑strategic, adaptive, and prosponsive strategic thinking,

  • and assists organisations in governing strategic change and renewal over time.

 

The System does not:

  • determine decisions,

  • mandate actions,

  • automate judgement,

  • control organisational behaviour,

  • or guarantee particular outcomes.

All strategic judgement, choice, accountability, and stewardship remain explicitly human.

3. License Grant

Subject to these Terms, the Publisher grants you a non‑exclusive, non‑transferable, revocable licence to install and use the System solely within your organisation’s Microsoft Power BI environment.

This licence is granted for internal organisational use only and must not be extended, assigned, or made available to third parties except as permitted by applicable law or with prior written consent from the Publisher.

4. Ownership and Intellectual Property

The stratāgaia Strategy System, including its structure, logic, visual design, terminology, and intellectual framework, remains the exclusive intellectual property of the Publisher.

 

No rights are granted to you other than the licence expressly set out in these Terms.

You retain ownership of all data, content, and materials you connect to or use within the System.

5. Data, Context, and Responsibility

All data used with the System:

  • remains within your own Microsoft tenant,

  • is under your sole ownership and control,

  • and is your responsibility with respect to accuracy, legality, ethical use, and appropriateness.

 

The Publisher does not access, collect, store, or transmit your data.

You acknowledge that strategic interpretation and organisational context materially affect how the System is used and understood, and that responsibility for interpretation rests with you.

6. Permitted and Prohibited Use

You may use the System solely for legitimate strategic, governance, and organisational sense‑making purposes.

 

You must not:

  • copy, modify, or create derivative works of the System,

  • reverse engineer or attempt to extract source logic,

  • redistribute, resell, sublicense, or commercially exploit the System,

  • represent the System as an automated decision‑making or outcome‑determining tool.

Any use inconsistent with the intent described in Section 2 is prohibited.

7. Privacy and Data Protection

The System operates entirely within your Microsoft environment. The Publisher does not collect personal or organisational data through the System.

 

You are responsible for compliance with any applicable privacy, data protection, or regulatory obligations associated with your use of the System.

Refer to the Publisher’s Privacy Policy for further information.

8. Support and Availability

Support for the System is provided in accordance with the Publisher’s published support arrangements.

The Publisher does not warrant uninterrupted availability and is not responsible for issues arising from:

  • your data sources,

  • your Microsoft environment,

  • or user‑entered content.

9. No Warranty

The System is provided “as is” and “as available”, without warranties of any kind, whether express or implied.

 

The Publisher does not warrant that:

  • the System will meet all specific organisational needs,

  • strategic or organisational outcomes will result from its use,

  • or interpretations derived from the System will be complete or error‑free.

10. Limitation of Liability

To the maximum extent permitted by law, the Publisher shall not be liable for any indirect, incidental, consequential, or special damages arising from the use or inability to use the System.

This includes, without limitation, losses arising from strategic decisions, organisational changes, foregone opportunities, or reliance on interpretive outputs.

11. Termination

The Publisher may terminate or suspend your licence if you breach these Terms.

Upon termination, you must cease all use of the System and remove it from your environment.

12. Changes to These Terms

The Publisher may update these Terms from time to time. Updated Terms will be effective upon posting at:

https://www.phsandl.com/tandcsstratāgaia. Continued use of the System after changes constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of Victoria, Australia, without regard to conflict‑of‑law principles.
